CUE PRIVATE TESTING AND CONFIDENTIALITY AGREEMENT
Version: cue-tester-2026-11-05-v1
Provider: Sudeep Nair, trading as SmartAF
Contact: sudeipnair@gmail.com

1. Purpose and consideration
You are applying as an adult to a private, supervised evaluation of Cue at Feni House & Taberna, Anjuna, Goa. In return for any testing access the Provider grants, you agree to these terms. Registration is subject to approval and does not itself grant access. The Provider may decline, limit or revoke access. No subscription, employment, payment or promise of future access is created.

2. What is confidential
Protect non-public Cue information disclosed for the evaluation that is marked confidential or that a reasonable person would understand to be confidential: unreleased features, non-public designs and workflows, source code if expressly supplied, architecture, security information, credentials, internal documentation, private business plans and non-public test results. This does not make public marketing or publicly accessible information confidential.

3. Permitted use and restrictions
Use that information only to evaluate Cue and give private feedback to the Provider. Do not share accounts, access codes, non-public screenshots, recordings, materials or confidential information with others without written permission. Do not copy, publish, sell or use the confidential information to reproduce Cue code or non-public designs or to build or assist a competing product. Do not bypass access controls, extract source code or reverse engineer non-public components, except to the extent applicable law gives a right that cannot be excluded. Report accidental disclosure or a security issue promptly to the contact above. Do not test against real customer data or disrupt a live venue; ask the host before disruptive testing.

4. Exclusions and required disclosures
The confidentiality duties do not cover information you can demonstrate was already lawfully known without a duty of confidence, becomes public without your breach, is received lawfully from another source without confidentiality restrictions, or is developed independently without the protected information. You may make disclosures required by law or a competent authority; where lawful, notify the Provider first and disclose only what is required. Nothing prevents lawful reporting to authorities, protected disclosures, or use of general skills and independently developed ideas. This is not a general non-compete agreement.

5. Ownership and feedback
Cue and its materials remain the property of the Provider or their respective rights holders. No ownership or source-code licence is transferred. You retain ownership of your pre-existing material and feedback. You grant the Provider a non-exclusive, worldwide, royalty-free licence to use feedback you voluntarily provide to improve and operate Cue. Do not submit another person's confidential information. This licence does not transfer ownership of unrelated ideas or work.

6. End of testing and duration
When asked, or when access ends, stop using the private test service and delete or return confidential materials within your control, subject to mandatory legal retention. Protect confidential information for three years after the last disclosure; information qualifying as a trade secret remains protected while it qualifies under applicable law. The Provider may terminate testing immediately. Access revocation does not erase the recorded agreement.

7. Testing limitations and remedies
Cue is being evaluated and may fail or change. Do not rely on the pilot for safety-critical uses. There is no fixed penalty, automatic damages amount or guaranteed injunction in these terms. Any remedy is subject to applicable law and court orders. Mandatory legal rights and liabilities are not excluded.

8. Applicable law and electronic acceptance
Indian law applies, subject to mandatory protections and jurisdiction rules. Disputes may be brought before courts that have jurisdiction under applicable law. By entering your full legal name and selecting the agreement checkbox, you intend to accept these terms electronically. The service records your account identity, typed name, UTC time, this version, its exact text and a SHA-256 digest. This is an electronic acceptance record, not a certified digital signature. You can download your record after registration.

9. Privacy
Registration stores your account ID and email, entered legal name, city, requested feature, agreement record, browser identification and review status. They are used to administer the pilot, contact you about it and maintain acceptance records, not to add you to marketing lists. Hosting and authentication providers process data to run the service. Contact the Provider to request correction, withdrawal from testing or deletion; records needed for legal claims or mandatory retention may need to be kept. Access to records is limited to you and authorised reviewers. No identity documents or payment details are requested.
